Terms of Service

These Terms of Service govern access to and use of Promethora's website, payment infrastructure, payout services, verification APIs, dashboards, integrations, and connected banking solutions. Commercial product use may also be governed by separate merchant, partner, or service agreements.

1. Acceptance of terms

By accessing this website, submitting information, registering for services, using Promethora APIs, or entering into a commercial arrangement with Promethora Fintech Solutions Private Limited, you agree to these Terms, our Privacy Policy, Cookie Policy, and any applicable service-specific documentation. If you act for a company, you represent that you are authorised to bind that company.

2. Definitions

Platform means Promethora's website, dashboards, APIs, SDKs, hosted pages, documents, and related tools. Services means payment gateway, POS, QR payment, payout, verification, connected banking, reporting, onboarding, and support services. Merchant means a business onboarded to use the Platform. Transaction means payment collection, refund, payout, settlement, verification request, banking instruction, or related activity processed through the Platform.

3. Services

Promethora may provide online payment acceptance, POS and QR payment solutions, bulk and single payout services, verification APIs such as PAN, GST, bank account, and business checks, connected banking workflows such as collections, virtual accounts, escrow support, settlement reports, and dashboards. Service availability may depend on partner banks, payment networks, regulatory requirements, integration readiness, and risk approval.

4. Eligibility and onboarding

To use regulated or commercial services, you may need to be a valid business or authorised representative, provide accurate KYC information, maintain a verified bank account, operate in a permitted business category, and complete risk review. Promethora may request updated documents, enhanced due diligence, website or app details, beneficial owner information, tax records, or business proof at any time.

5. Account and security obligations

You are responsible for maintaining the confidentiality of dashboard credentials, API keys, webhooks, devices, MFA factors, and authorised user access. You must immediately notify Promethora at hello@promethora.com of suspected unauthorised access, credential exposure, fraudulent activity, or security incidents. Actions performed through your credentials may be treated as authorised by you unless proven otherwise.

6. Payments, fees, and taxes

Fees, MDR, payout charges, verification charges, platform fees, refunds, chargebacks, taxes, and other commercial terms are governed by the applicable merchant agreement, pricing schedule, dashboard disclosure, invoice, or written communication. GST and other taxes may apply. Promethora may revise pricing with appropriate notice where required by contract or law.

7. Settlements, payouts, refunds, and chargebacks

Settlement timelines may vary based on payment method, partner bank, business category, risk review, holidays, reconciliation status, chargeback exposure, or regulatory hold. Payouts may be delayed, reversed, rejected, or held where beneficiary details are incorrect, funds are insufficient, risk checks fail, or required by law. Refunds and chargebacks may be adjusted against future settlements or balances.

8. Prohibited use

You must not use Promethora for unlawful activity, fraud, money laundering, terrorist financing, prohibited goods or services, misleading transactions, unauthorised collections, gambling where not permitted, adult or illegal content, sanctions evasion, impersonation, data scraping, credential sharing, malware, security attacks, or any activity restricted by banks, networks, regulators, or Promethora policy.

9. Compliance and monitoring

Promethora may monitor transactions, merchant activity, API usage, settlement patterns, refund behaviour, chargebacks, and risk signals to meet compliance obligations and protect the platform. We may suspend, restrict, reject, hold, or terminate services if activity appears suspicious, violates these Terms, breaches partner or regulatory rules, or creates unacceptable risk.

10. Intellectual property

Promethora owns or licenses the Platform, designs, software, APIs, documentation, logos, brand assets, content, and related intellectual property. You receive only a limited, revocable, non-transferable right to use the services as permitted under applicable agreements. You may not copy, reverse engineer, resell, or misuse Promethora technology or brand assets.

11. Limitation of liability

To the maximum extent permitted by law, Promethora is not liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages. Services may depend on banks, networks, telecom providers, cloud providers, regulators, and third-party systems. Promethora is not responsible for failures outside its reasonable control, though we will work to restore service promptly.

12. Indemnity

You agree to indemnify Promethora, its directors, employees, partners, and service providers against claims, losses, penalties, damages, costs, or expenses arising from your breach of these Terms, misuse of services, unlawful activity, inaccurate information, customer disputes, regulatory violations, or third-party claims connected to your business.

13. Termination

Promethora may suspend or terminate access for breach, non-compliance, fraud risk, regulatory requirement, partner bank instruction, prolonged inactivity, or non-payment. Termination does not affect accrued fees, settlement adjustments, chargebacks, refunds, audit rights, confidentiality, indemnity, or obligations that naturally survive termination.

14. Governing law and contact

These Terms are governed by Indian law, with disputes subject to courts of competent jurisdiction in Bengaluru, Karnataka, unless a separate agreement states otherwise.
